A compromise has been reached! All outstanding issues with MOL Group have been successfully resolved

Serbia’s Minister of Mining and Energy, Dubravka Djedović Handanović, stated that all outstanding issues with MOL Group were successfully resolved and that a compromise was reached regarding the Shareholder Agreement between the Republic of Serbia and MOL.

“Among other things, Serbia and MOL have agreed that if Gazprom Neft reaches an agreement with MOL Group on the sale of its 56.15% stake in NIS, and if the U.S. Office of Foreign Assets Control (OFAC) approves the transaction, the Republic of Serbia will purchase an additional 5% stake in NIS. This would grant the state additional rights regarding the adoption or blocking of important decisions affecting our country,” Djedović Handanović wrote on Instagram.

Regarding the operation of the refinery in Pančevo, the Hungarian side committed to ensuring that the refinery continues operating as before, with at least the same average annual capacity as during the four years preceding the introduction of U.S. sanctions, when NIS was performing very successfully.

“Such operation of the refinery, which is necessary to meet Serbia’s domestic demand for petroleum products, was one of the key issues for the Serbian side, and I am proud that we managed to reach a very important and beneficial agreement for the citizens of Serbia.

Members of the Serbian side on the NIS Board of Directors will generally have greater powers than before, both in making decisions and in blocking any decisions that may be unfavorable to the Republic of Serbia.

The Serbian state has not had such influence since 2008, when NIS was privatized.

We continue to work diligently on finding a long-term solution for NIS following the introduction of U.S. sanctions, for which neither the Republic of Serbia, its Government, nor its citizens bear any responsibility,” Djedović Handanović stated.

Earlier today, NIS announced that it had submitted a request for a new special license from the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC) to allow the company to continue its operations without disruption after June 16, when the current license issued in April expires.

On June 6, MOL Group announced that it had received an official license from OFAC to continue negotiations on the purchase of the Russian majority stake in NIS until June 16.

According to MOL, following the license extension granted on May 22, negotiations have made significant progress, and the additional extension will allow the transaction documentation to be finalized.

NIS had previously received a special license from the U.S. Treasury Department enabling the company to continue its operational activities, including oil refining, through June 16.

That license allows the continuation of business operations, contracts, and other agreements involving NIS or its operating subsidiaries, including refinery processing, crude oil imports, transactions necessary for supply security and technical maintenance, as well as financial settlements.

On January 19, MOL Group announced that it had signed the principal terms of a binding framework agreement with Gazprom Neft to acquire its 56.15% stake in the Serbian company.

MOL Group also stated at the time that it was in discussions with ADNOC, the national oil company of the United Arab Emirates, regarding its potential entry into NIS's ownership structure as a minority shareholder.

The United States imposed sanctions on NIS on October 9, 2025, due to the company's majority Russian ownership.
