NIS has submitted a request to OFAC for an extension of its operating license

Energy Minister Dubravka Djedović Handanović stated that NIS has submitted a request to OFAC to allow NIS to continue its operations, while further discussions are underway to successfully complete the transaction between Gazprom Neft and MOL.

She also emphasized that after the transaction is completed, Serbia could increase its stake by five percent, and it is expected that other partners from the UAE will take a minority share within the 56.15% stake that MOL intends to acquire.

Explaining the current status of resolving the NIS issue, the minister said that a purchase agreement has not yet been finalized, and that they are currently working on the basic provisions of future contracts.

“There is still a lot of work to be done to finalize the entire agreement. However, what is important is that the Russian majority owners, namely Gazprom Neft, and NIS have agreed on the basic principles, and that NIS has submitted requests to OFAC,” she told Jutarnji dnevnik RTS.

Serbia can block decisions with just 5% additional stake in NIS

Serbia signed a memorandum of understanding with MOL, which foresees that its ownership stake will increase by five percent, giving the country additional control in the NIS Shareholders’ Assembly, including the ability to block certain decisions if deemed necessary.

The minister stressed that Serbia’s goal is to improve its position compared to the one negotiated for NIS in 2008, and that after the completion of the transaction between Gazprom Neft and MOL, Serbia will increase its stake by five percent.

“I believe we have achieved this, at least at this preliminary stage, while negotiating the preliminary and basic principles of the future agreement. Serbia has signed a memorandum of understanding with MOL, which foresees an increase of Serbia’s stake by five percent. Why is this important? Because Serbia will gain additional control in the Shareholders’ Assembly, primarily the ability to block certain decisions if it considers this necessary, and if other owners vote for decisions with which Serbia disagrees,” said Djedović Handanović.
